Course Overview

This is a compulsory law course for the LLM/MSc in Corporate Finance. It will explore issues within the field of corporate governance, with reference to different legal systems. It will provide students with a wider and deeper understanding of various corporate governance issues that are crucial to the law of corporate finance.

Course Description

This course will cover a number of topics of particular relevance to corporate governance in the context of corporate finance. The content of the course will include the following:

What is corporate governance and why does it matter in the context of corporate finance?
The centrality of agency theory in explaining arrangements focused on the role of directors, institutional investors and creditors, as well as concepts such as the market for corporate control.
The critique offered by transaction cost economics and the implications for corporate governance.
Debt and equity as alternative governance structures.
Recent developments associated with the rise of environmental, social and governance reporting.
